Guessing really, but £40 doesn't seem at all unreasonable - give or take.

Didn't realise they were limited edition. Thougt they were all like that.
Maybe we only sold two hundred?
If he hasn't got it, roofs will buy it.

Already got it mate. :) Well, I have, but it's got a big newspaper print stain down one side which has never fully come out.

The shirt in question is the 2005 home shirt, not the NRC Final shirt. They were both very similar shirts, but this one (with the 1980 player names on the sleeves), was worn for the full season, whereas a similar round-necked one was brought out purely as a one-off shirt for the final. Now, the shirt in question will have been released and sold in decent numbers (for an NL1 club as we were), whereas the NRC Final shirt was limited edition and so presumably only 200 or 300 were made. I bought the NRC Final shirt for £25 from eBay in (I think) 2010, then decided to sell it a year later only got the same back. So, in my opinion the shirt the OP's friend is selling is not really worth a great deal because like I said, it is only the 2005 replica home shirt, not a limited edition shirt (same as you can get a 2005 Hull FC replica home shirt off eBay for £10-£15 max).
If I was the seller I might have held on to it for three years so that they could advertise it as a decade old, but as it is if I was selling it I'd be happy with £40 to be honest.
I tell you what is more rare IMO - in 2004 we brought out an all-red shirt for the Arriva Trains Cup Final against Leigh, but strangely the team didn't end up wearing it on the day. :? That shirt I would say is quite rare (it was made by Kukri). I bought one for a tenner off eBay maybe seven years ago, and got £35 for it at a later date. :)
Over the last few years I've loved seeing the retro reproductions that have been made (inc mine and East Hull Red's Hanson White project  8) ), but would love to see a reproduction of the white with red band and white with blue band cotton Riding Bitter shirts that we had around the time we moved grounds (the ones with the HUGE v-necks! ), something about them shirts I just love, even though it was 4-5 years before I started going.

Yeah it was limited edition in the sense that it marked the 25th anniversary of the Challenge Cup win, but again, it's not actually a limited edition shirt itself - there will have been at least 1000 made (we averaged about 2500 in the 2005 season, so I'd guess 1000 of those bought the home shirt). More units of this shirt will have been made than shirts in the ten years prior to that because we opened the Holderness Road store opp East Park in time for the 2005 season, so like I said it is just my opinion that it is not a particular rare shirt (certainly compared to others). I hope I'm wrong for ya, but I suspect that the current 99p bid on eBay will not rise to the £40 that you have been offered, so therefore the £40 offer is a good one.
Please don't think I'm being funny mate, I'm just being honest and open with ya (as someone who loves collecting shirts).

Part of the reason why I don't think it's worth a lot is it is only 7 years old. If it was an 80's original Rovers shirt (for example), it'd probably be worth plenty. It certainly looks in good condition and in years to come it'll probably rise in value, but at the moment I doubt it'll go for anything silly on eBay.

Just noticed the amendment to your listing saying only 200 were made. Again this is incorrect - the NRC Final shirt of the same year was only produced in 200 or 300, but for the shirt in question you are talking at least 500-1000 made I'd say.
